Welcome to Delegation Dynamics. These Terms of Use ("Terms") govern your access to and use of nemunasmetricsgroup.com (the "Site") and the coaching services offered by Delegation Dynamics ("Services"). Please read these Terms carefully before accessing or using our Site or Services.

5.1 Coaching Services

Our Services include delegation coaching and team-building programs for executives and organizations. In case of any conflict between these Terms and any specific agreement for Services, the terms of the specific agreement will prevail.

5.2 No Professional Advice

The information provided on the Site is for general informational purposes only and should not be construed as professional advice. While our coaching Services aim to improve leadership and delegation skills, they do not constitute legal, financial, or other professional advice. You should consult with appropriate professionals for advice tailored to your specific situation.

6. Intellectual Property Rights

6.1 Ownership

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Delegation Dynamics, its licensors, or other providers and are protected by Lithuanian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2 Trademarks

The Delegation Dynamics name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Delegation Dynamics or its affiliates or licensors. You may not use such marks without our prior written permission.

7. User Content

7.1 Submission of Content

If you submit any information, feedback, ideas, or other content to us ("User Content"), you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media.

7.2 Representations and Warranties

You represent and warrant that:

  • You own or control all rights in and to your User Content
  • Your User Content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person or entity
  • Your User Content does not contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable

The Site may contain links to third-party websites or services that are not owned or controlled by Delegation Dynamics. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. 9. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE OR SERVICES WILL BE ACCURATE OR RELIABLE, OR THAT ANY ERRORS IN THE SITE OR SERVICES WILL BE CORRECTED.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DELEGATION DYNAMICS, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE OR SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE.

11. Indemnification

You agree to defend, indemnify, and hold harmless Delegation Dynamics, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site or Services.

12. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Lithuania. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the courts of Lithuania, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

13. Waiver and Severability

No waiver by Delegation Dynamics of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Delegation Dynamics to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by us on the Site, shall constitute the entire agreement between you and Delegation Dynamics concerning the Site and Services.
